SMNIFY ("Company", "we", "us", or "our") is a technology company headquartered in Gurugram, Haryana, India, registered under Mamta Khandelwal with Shivam Khandelwal serving as Co-Founder and Chief Technology Officer. We design and build AI-enabled products, mobile and web applications, backend systems, RFID/IoT solutions, and cloud infrastructure. SMNIFY operates as an active technology enterprise with registered operations in Gurugram, Haryana, India.
All content on this website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Smnify or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. For client projects: Upon full payment of all agreed fees, intellectual property rights for custom-developed software are transferred to the client as specified in individual project agreements. Smnify retains the right to use general knowledge, techniques, and non-proprietary components for future projects unless explicitly agreed otherwise.
Project timelines are estimates based on initial scope discussions. Actual delivery times may vary based on scope changes, feedback cycles, and third-party dependencies. We commit to transparent communication regarding any timeline adjustments. Milestone-based payments are typically structured as: 30% upon project initiation, 40% at midpoint delivery, and 30% upon final delivery and acceptance. Specific payment terms are outlined in individual project agreements.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: Smnify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether incurred directly or indirectly. Our total liability for any claims arising out of or related to these terms or our services shall not exceed the total amount paid by you to Smnify in the twelve (12) months preceding the claim. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We are not responsible for any third-party services, APIs, or platforms integrated into your projects.
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes but is not limited to: business strategies, technical specifications, source code, customer data, and financial information. Confidentiality obligations survive the termination of any agreement for a period of three (3) years unless the information becomes publicly available through no fault of the receiving party.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any disputes, claims, or controversies arising out of or in connection with these Terms or services provided by SMNIFY shall be subject to the exclusive jurisdiction of the competent courts situated in Gurugram, Haryana, India. Both parties agree to attempt good-faith amicable negotiation before initiating any formal legal proceedings.
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email to registered clients or posted prominently on our website. Continued use of our services after modifications constitutes acceptance of the updated terms. We encourage you to review these terms periodically for any changes.
